One more thing to this strange behaviour.
I tried booting DSL-linux (Damn small Linux) from CD-rom.
And the exact same thing happens.
When it switches to Vesa, the screen goes black.
DSL also uses kernel 2.4.20
The same DSL cd, boots just fine on an old P-III.
Kernel related or not ? I don't know.
